Our core practice

Corporate governance and secretarial audit

Corporate Governance Services

Corporate governance is a function of transparency and fairness in operations and making proper disclosures. SEBI and listing agreements of various stock exchanges require that the requirements of corporate governance are duly complied with, and lenders, national or international, also look for them before taking exposure in any corporate.

Secretarial Audit

Secretarial Audit is an indispensable tool in the hands of corporates, which enables them to identify how robust the legal and corporate law compliance system of the organisation is. It gives comfort to stakeholders and strengthens board constitution, transparency and disclosure compliances, and internal audit and control systems.

Company Incorporation Services in Mumbai

Why incorporate your business

Changing a sole proprietorship to a company or a One Person Company (OPC) can offer a range of advantages for entrepreneurs. Most notable is that it protects personal assets in case debts or legal judgements are claimed against the business.

  1. 01

    Separate legal entity

A company can acquire assets, enter into contracts, sue or be sued. Its money and assets belong to the company, not its shareholders.

  2. 02

    Limited liability

As a general rule, shareholders are not responsible for the company's debts beyond their investment.

  3. 03

    Lower corporate tax rates

Companies are taxed separately from their owners, which may offer fiscal advantages. Ask our experts to assess your case.

  4. 04

    Greater access to capital

Companies can issue shares to investors and are often able to borrow at lower rates.

  5. 05

    Continuous existence

A company continues even if shareholders or directors leave, which allows it to plan over a longer term.

  6. 06

    Brand building

Branding is the visual voice of your company: the name, symbol and design that set you apart.

How a company is structured

An individual may hold more than one of these positions, even as sole shareholder, sole director and sole officer.

Ask about incorporation
  1. 1

    Shareholders

Own the company. They make decisions by passing resolutions and elect the directors.

  2. 2

    Directors

Supervise the management of the company's business and appoint its officers.

  3. 3

    Officers (Key Managerial Personnel)

Manage and execute the company's day-to-day business.
